Bill Harris has developed tax and financial software since 1991, when he assumed the presidency of ChipSoft, the makers of TurboTax. During his tenure, ChipSoft developed a new tax technology platform, acquired numerous tax preparation vendors, and went public on the NASDAQ. ChipSoft was acquired by Intuit, the makers of Quicken and QuickBooks, where Mr. Harris served as EVP and then CEO and led the acquisition of Lacerte. Since 2000, Mr. Harris has focused on online financial technology, as CEO of PayPal and then as chairman and shareholder of numerous early-stage companies. He has also served on the board of six public companies: Intuit, Macromedia, RSA Security, WebSideStory, Global Cash Access and EarthLink.

Kenneth F. Potashner brings a wealth of executive level management experience from technology companies, and a proven track record for creating and building value within these corporations. From May 2003 to present, Mr. Potashner has been an independent investor. From 1996 to May 2003, Mr. Potashner was Chairman of the Board of Directors of Maxwell Technologies, Inc., a manufacturer of ultracapacitors, microelectronics, power systems and high voltage capacitors. From November 1998 to August 2002, Mr. Potashner was President, Chief Executive Officer and Chairman of SONICblue Incorporated (formerly S3 Incorporated), a supplier of digital media appliances and services. From 1996 to October 1998, he was President and Chief Executive Officer of Maxwell Technologies Inc. Mr. Potashner was Executive Vice President and General Manager of Disk Drive Operations for Conner Peripherals, a manufacturer of storage systems, from 1994 to 1996. From 1991 to 1994, he was Vice President, Worldwide Product Engineering for Quantum Corporation, a manufacturer of disk drives. From 1981 to 1991, he held various engineering management positions with Digital Equipment Corporation, a manufacturer of computers and peripherals, culminating with the position of Vice President of Worldwide Product Engineering in 1991.

Larry J. Wolfe served at Intuit Inc. and certain predecessor companies from 1987 until his retirement in 2001 as senior vice president in the tax division where, under his leadership, tax division revenues grew more than three fold over a five-year period. In addition to his role as senior vice president, Mr. Wolfe was vice president and general manager of Intuit's Personal Tax Group where he was a driving force in bringing tax technology to the Internet for both personal and professional customers. Mr. Wolfe was instrumental in implementing the company's internal electronic filing system, which reduced costs and enabled the company to process a record volume of returns. In 1998, Mr. Wolfe oversaw the launch of TurboTax for the WebSM, the company's online tax preparation and filing service. Mr. Wolfe is a former board member of both the San Diego Software Industry Council and of NetCreate Inc. He holds a B.S. degree in Business Administration from the University of Southern California.

Jim Morris is president of JBM Properties, Inc., an investment firm that has been an active investor in early stage private equities, commercial real estate acquisitions and development. Jim is currently a trustee of the University of California, San Diego Foundation, has served for nearly 15 years as an advisory board member at the Entrepreneurial Management Center at San Diego State University, and has also chaired the UC San Diego Athletic Board for the past five years. Mr. Morris has also recently co-founded a private equity fund at the USC-Marshall Business School that will focus on funding early stage companies. Jim is a graduate of the University of California, Berkeley with a B.A. in political economics and he earned his MBA in finance at the University of Southern California.

Robert Schulte, Chief Strategy Officer and Founder is responsible for the strategic vision of vAudit and is the guiding force for developing innovative products that increase accuracy and efficiencies for sales and use tax compliance. Mr. Schulte was a Senior Tax Auditor for the State of California responsible for conducting complex sales and use tax audits of California and multinational corporations. Additionally, Mr. Schulte performed electronic auditing and technical support on the most complex industrial audits. Mr. Schulte graduated with dual degrees in Accountancy and Business Administration from the University of San Diego and holds an MS in Business Administration from San Diego State University.
